Legacy Motor Club sues Rick Ware Racing for ‘cold feet’ over NASCAR charter purchase

Legacy Motor Club has sued Rick Ware Racing over a charter purchase agreement that the former says that latter has backed out of after agreeing to terms.

In the claim, Legacy Motor Club states that team CEO Cal Wells III met with ‘cash strapped’ Rick Ware and his broker, TJ Puchyr, who is also a co-owner of Spire Motorsports to execute a purchase agreement on the morning of January 6 and closed out on that agreement on March 3.

Legacy argued in its filing that ‘at the exact same time that Legacy has charted a path forward, RWR has flagged and flailed in the rear.’ Much of the suit is redacted but Legacy claims ‘the parties further agreed on payment terms’ and that they ‘signed the agreement … and initialed every page for good measure.’

Also from the suit:

‘Despite having a binding deal in place, RWR wants to back out. It has told Legacy that it will not, under any circumstances, close the parties’ transaction. Legacy has tried to talk sense into RWR, to no avail. Legacy’s patience has run out. It now brings this suit to enforce its rights and hold RWR to its deal.’

Legacy says that both the signed documents and their communication is proof that an agreement was reached and needs to be upheld.

‘RWR’s position is belied both by the plain text of the Agreement and the contemporaneous written communications surrounding the parties’ negotiations.’

The Athletic has reported that Rick Ware Racing was under the impression that the agreement would go into effect for 2027 but that Legacy changed it to to 2026 without communicating that to Ware officials.

Legacy Motor Club is asking the court for relief in the form of an injunction and restraining order but because so much of the document is redacted, it’s not totally clear what the ask is publicly.

Rick Ware Racing owns two charters, one for the No. 51 car currently driven by Cody Ware, the son of the team owner, and the Roush Fenway Keselowski No. 60 car, which has been leased from RWR. A charter can be leased once every seven year charter period, with this period beginning this year and running through 2031.
